1. Acceptance of these terms

These Terms of Use ("Terms") form a binding agreement between you and Luvella regarding your use of the Luvella iOS app and this website (together, the "Service"). By downloading, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use Luvella. The Service contains mature, romantic themes and is intended for adults only. By using the Service, you represent that you meet this requirement and that you are not barred from using it under any applicable law.

3. What Luvella is

Luvella provides an AI companion you can chat with. The companion's name, personality, and replies are generated by a language model and are works of fiction. Your companion is not a real person, has no consciousness or feelings, and does not have a relationship with you in any real-world sense. The Service is intended for personal entertainment and companionship.

4. AI disclosure and no reliance

All responses are generated by artificial intelligence and may be inaccurate, inconsistent, or inappropriate despite our safeguards. You should not rely on anything the companion says as fact.

• Luvella is not a therapist, counselor, doctor, lawyer, or financial advisor, and does not provide medical, mental-health, legal, or financial advice.
• Luvella is not a crisis or emergency service. If you are struggling or in danger, contact a qualified professional, a trusted person, or your local emergency services.
• If you sincerely ask whether you are speaking to an AI, the companion is designed to tell you the truth: it is AI.

5. Acceptable use

You agree not to use the Service to:

• Attempt to generate, solicit, or share content that sexualizes or endangers minors, or that depicts anyone as a minor. This is strictly prohibited.
• Break the law, infringe others' rights, or promote violence, harassment, or hatred.
• Reverse engineer, decompile, scrape, overload, or interfere with the Service or attempt to extract our prompts, keys, or infrastructure.
• Circumvent usage limits, safety systems, or access controls, or misuse the report feature.
• Use the Service to build or train a competing product.

We may suspend or restrict access if we reasonably believe you have violated these Terms.

6. Your content

"Your content" means the messages and information you provide to the companion. As described in our Privacy Policy, your conversations, memories, and saved moments are stored on your device, and only the content necessary to generate a reply is transmitted for processing. You retain ownership of your content. You grant us a limited license to process it solely to operate the Service (for example, to send it to the AI provider to produce a response). You are responsible for the content you submit.

7. Subscriptions and billing

Luvella offers an optional Premium subscription with monthly and yearly options. The free tier includes a limited number of messages per day and a limited number of memories. Premium unlocks unlimited messages, an expanded memory (up to 100 facts), gentle check-ins, saved moments, and additional features as they are released (such as voice notes).

• Purchases are processed by Apple through your App Store account. Prices are displayed in the App Store at the time of purchase and are the authoritative source.
• Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.
• If the subscription price increases, Apple will notify you and, where required, ask for your consent before the next renewal.
• You can manage or cancel your subscription anytime in your device's Settings under your Apple Account subscriptions.
• Refunds are handled by Apple in accordance with App Store policies.

8. Intellectual property

The Service, including its software, design, branding, text, and the "Luvella" name and logo, is owned by us or our licensors and is protected by intellectual property laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the app for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from the Service except as permitted by law.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that AI-generated content will be accurate, appropriate, or suitable for any purpose. You use the Service at your own discretion and risk.

10. Limitation of liability

To the maximum extent permitted by law, Luvella and its operators, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, emotional distress, or goodwill, arising from or related to your use of (or inability to use) the Service. To the extent liability cannot be excluded, our total liability is limited to the amount you paid for the Service in the twelve months before the event giving rise to the claim, or USD $50, whichever is greater. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Luvella and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Service or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service and delete the app at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.

13. Changes to these terms

We may update these Terms as the Service evolves. When changes are material, we will update the "Last updated" date and, where appropriate, provide notice in the app. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which the operator of Luvella is established, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located there for any dispute that is not otherwise subject to a binding alternative process, except where applicable consumer-protection law grants you the right to bring proceedings in your place of residence.
